Terms of Service.
The terms that govern every Arix Labs engagement — Ignite, Momentum, and Autopilot — including how refunds and cancellation work.

These Terms of Service ("Terms") govern your use of services provided by Arix Labs (Pty) Ltd (registration number 2025/841592/07), a company registered in the Republic of South Africa and operating from Cape Town ("Arix Labs," "we," "us"). By purchasing or engaging any Arix Labs service, you agree to these Terms, including the Refund & Cancellation Policy below.
1. Services
Arix Labs provides AI systems, automation workflow engineering, web/digital presence development, and related managed services, delivered through three service tiers:
- Ignite — a fixed-fee, once-off build. Upon delivery, you own all delivered assets outright, with no ongoing obligation to Arix Labs.
- Momentum — a once-off build charged at a fixed starting price, scoped for an ongoing, growing platform. Scope that exceeds the starting price is confirmed and invoiced individually once properly scoped. There is no compulsory monthly retainer — ongoing usage is funded by AI Credit ("Gas") top-ups, and any recurring service you choose to add is optional and separately disclosed, as described in Section 2.
- Autopilot — a fully managed once-off build comprising the onboarding/setup fee, covering ongoing management, monitoring, and optimisation of what was built. There is no compulsory monthly retainer — ongoing usage is funded by AI Credit ("Gas") top-ups, and any recurring service you choose to add is optional and separately disclosed, as described in Section 2. Autopilot Tailored engagements are governed by an individually signed agreement in addition to these Terms.
2. Payment
Payments are processed via Paystack or, where offered, by supported crypto payment. Once-off fees may be paid in full or via a fixed instalment plan (3, 6, or 12 equal monthly payments, as selected at checkout); instalment billing stops automatically once the agreed number of payments is completed. All prices are disclosed in South African Rand (ZAR) prior to checkout.
Each build includes a one-time starting allocation of AI Credits ("Pulse"), granted once when your account is created and not repeated. Active accounts also receive a small ongoing monthly allocation, sufficient to keep your dashboard assistant available; this allocation is not a usage plan and is withdrawn while an account is cancelled or unpaid. The size of both is disclosed at checkout and shown in your dashboard.
Beyond those allocations, usage is funded by AI Credit ("Gas") top-ups, purchased as a one-time top-up, a recurring monthly top-up, or a prepaid annual top-up. Recurring and annual purchases are offered at a discount to the one-time price; the discount varies by top-up size and is shown before you buy. Recurring top-ups are cancellable at any time.
Purchased AI Credits expire 12 months after your most recent purchase. Any new purchase extends the expiry of your whole remaining balance by a further 12 months from that purchase, so an account that continues to buy never loses credit. Expired credits are removed from your balance, are recorded in your dashboard usage history, and are not refunded or reinstated.
Where Arix Labs administers third-party accounts on your behalf ("Managed Infrastructure"), this is an optional recurring service charged separately and disclosed before you take it. It covers administration only — the third-party services themselves are contracted in your name and billed to you directly, as described in Section 6.

4. Intellectual property
For Ignite engagements, ownership of all delivered code, assets, and accounts transfers to the client upon full payment. For Momentum and Autopilot engagements, ownership terms are as agreed in the individual scope/engagement letter for that client — where Arix Labs continues to operate or host infrastructure on the client's behalf as part of a fully managed engagement, underlying access and operational control remain with Arix Labs for the duration of that engagement, reverting to the client upon request or termination, subject to the individual agreement. This does not apply to third-party accounts opened in your own name under Managed Infrastructure: those belong to you throughout, and you may take over their administration at any time on request.
5. Service limitations
Arix Labs builds and manages automation and AI systems to a professional standard but does not guarantee specific business outcomes (e.g. revenue, lead volume, or cost savings), as these depend on factors outside our control. Estimated figures referenced in marketing materials are illustrative, not guarantees.
6. Client responsibilities
You agree to provide accurate information, timely access to relevant systems/accounts where needed for delivery, and to use delivered systems in compliance with applicable law and any third-party platform terms (e.g. WhatsApp Business, payment providers, hosting platforms).
Third-party services your system depends on — hosting, databases, domains, messaging, and similar — are contracted in your name and charged to your own payment method by those providers. Their fees are your direct cost and are separate from anything Arix Labs charges. Where Arix Labs administers those accounts for you, that administration is the only part billed by us.
7. Confidentiality
Both parties agree to keep confidential business information shared during the engagement private, except where disclosure is required by law.
8. Arix Credits & referrals
Where offered, Arix Credits are governed by the full Arix Credits Terms & Conditions further down this page, which forms part of these Terms. In summary: Arix Credits have no cash value, cannot be exchanged for cash or cryptocurrency, and cannot be transferred between accounts.
Separately, existing clients may earn a referral reward of 5% of what a client they referred pays Arix Labs, for as long as that referred client remains active, paid out as Pulse (AI Credits) rather than Arix Credits or cash. Referral rewards are granted, not purchased, and do not extend the expiry of a purchased balance under Section 2; they remain available while your account is active. Arix Labs may adjust or discontinue the referral program at any time, with reasonable notice where practical.
9. Limitation of liability
To the maximum extent permitted by law, Arix Labs' total liability for any claim arising from these Terms or the services provided is limited to the amount paid by the client for the specific service giving rise to the claim in the preceding 12 months. Arix Labs is not liable for indirect, incidental, or consequential damages.
10. Changes to these Terms
We may update these Terms from time to time; material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of Arix Labs services after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the Republic of South Africa.
12. Pricing and plan changes
Arix Labs may change its prices, top-up sizes, discount rates, and the size of the allocations described in Section 2, with reasonable notice where practical. Changes are not applied retrospectively: a once-off fee already agreed is not repriced, credits already purchased keep the expiry that applied when they were bought, and an instalment plan already under way runs to completion at its agreed amount. Continued purchases after a change takes effect are made at the prices disclosed at that checkout.

Refund &
Cancellation Policy.
General policy
Cancelling any Arix Labs service does not entitle you to a refund of amounts already paid or charged — whether that amount was billed once-off, in instalments, or on a recurring monthly basis. This applies uniformly across every payment type described below and reflects standard practice for software and subscription services. Cancelling a recurring charge stops future billing only; it does not reverse charges already processed. Unspent AI Credits ("Pulse") are not refunded or paid out on cancellation, and the ongoing monthly allocation described in Section 2 stops while an account is cancelled or unpaid.
Once-off fees
Once-off build fees (Ignite, Momentum, Autopilot onboarding) are non-refundable once work has commenced. If paid in instalments, remaining instalments stop being charged if the engagement is cancelled before completion by mutual agreement; instalments already paid for completed work are non-refundable.
Recurring Gas top-ups
A recurring monthly AI Credit ("Gas") top-up may be cancelled at any time, effective at the end of the current billing cycle — no partial-month refunds are issued. No cancellation fees apply.
Recurring add-ons
Recurring add-on subscriptions may be cancelled at any time, effective at the end of the current billing cycle — no partial-month refunds are issued. No cancellation fees apply.
Autopilot Tailored
Refund and cancellation terms for custom-scoped engagements are set out in the individual agreement signed with the client.
Arix Credits —
Terms & Conditions.
Arix Credits are a discretionary loyalty and incentive program offered by Arix Labs to eligible clients. They are not a financial product, currency, or investment, and participation in this program does not create any financial entitlement.
How Arix Credits are earned
At Arix Labs' discretion, including through upgrading service tiers, participating in a testimonial or case study, or reaching service milestones. Arix Labs may introduce, change, or discontinue ways of earning credits at any time. Referral rewards are a separate program, described in Section 8 above and paid out as Pulse, not Arix Credits.
How Arix Credits are redeemed
For a percentage discount on a future invoice, a complimentary additional workflow for a billing cycle, or a one-month upgrade to the next service tier at no extra cost. Available redemption options and their credit cost may change over time; Arix Labs will give reasonable notice of material changes.
What Arix Credits are not
Arix Credits have no cash value, cannot be exchanged for cash or cryptocurrency, and cannot be transferred, sold, or gifted between accounts or clients.
Not to be confused with Pulse (AI Credits)
"Pulse" (also referred to as AI Credits) is a separate, unrelated system used to meter AI/agent usage within your service plan — see your dashboard for details on your Pulse balance and allocation. Arix Credits and Pulse are different systems that happen to be offered by the same business — they cannot be combined, converted into one another, or substituted for each other.
Expiry and forfeiture
Arix Credits do not expire while your account remains active. Unspent Arix Credits are forfeited upon full account cancellation and are not refunded or paid out in any form. This clause applies to Arix Credits only. Pulse (AI Credits) is a separate system with its own expiry rules, set out in Section 2.
Program changes
Arix Labs may modify or discontinue the Arix Credits program at any time, with reasonable notice where practical. As Arix Credits have no cash value, no compensation is owed for credits that go unused as a result of a program change.
