Terms of Service

Version 2026-10-04 (rev 9) 4 October 2026 Archived Fingerprint a3484714…e6fcd3

The terms that govern every Arix Labs engagement — Quick-Start, Ignite, Momentum, Autopilot, and Arix Agent — including ownership, revisions, and how refunds and cancellation work.

These Terms of Service (“Terms”) govern your use of services provided by Arix Labs (Pty) Ltd (registration number 2025/841592/07), a company registered in the Republic of South Africa and operating from Cape Town (“Arix Labs,” “we,” “us”). By purchasing or engaging any Arix Labs service, you agree to these Terms, including the Refund & Cancellation Policy below.

Terms of Service

1. Services

Arix Labs provides AI systems, automation workflow engineering, web/digital presence development, and related managed services, delivered through the following services:

2. Payment

Payments are processed via Paystack or, where offered, by supported crypto payment. Once-off fees may be paid in full or via a fixed instalment plan (3, 6, or 12 equal monthly payments, as selected at checkout); instalment billing stops automatically once the agreed number of payments is completed. All prices are disclosed in South African Rand (ZAR) prior to checkout.

Each build includes a one-time starting allocation of AI Credits (“Pulse”), granted once when your account is created and not repeated. Active accounts also receive a small ongoing monthly allocation, sufficient to keep your dashboard assistant available; this allocation is not a usage plan and is withdrawn while an account is cancelled or unpaid. The size of both is disclosed at checkout and shown in your dashboard.

Beyond those allocations, usage is funded by AI Credit (“Gas”) top-ups, purchased as a one-time top-up, a recurring monthly top-up, or a prepaid annual top-up. Recurring and annual purchases are offered at a discount to the one-time price; the discount varies by top-up size and is shown before you buy. Recurring top-ups are cancellable at any time.

Purchased AI Credits expire 12 months after your most recent purchase. Any new purchase extends the expiry of your whole remaining balance by a further 12 months from that purchase, so an account that continues to buy never loses credit. Expired credits are removed from your balance, are recorded in your dashboard usage history, and are not refunded or reinstated.

Where Arix Labs administers third-party accounts on your behalf ("Managed Infrastructure"), this is an optional recurring service charged separately and disclosed before you take it. It covers administration only — the third-party services themselves are contracted in your name and billed to you directly, as described in Section 6.

3. Refunds and cancellation

See the Refund & Cancellation Policy further down this page, which forms part of these Terms.

4. Ownership

For every build (Quick-Start, Ignite, Momentum, Autopilot), once the fee has been paid in full — meaning the final instalment has cleared — you own the delivered code, design, and content, and the accounts they run in. Until then, you may use the work as it is delivered, but ownership has not transferred. AI Credit (“Gas”) top-ups are not a build and carry no transfer of ownership.

Arix Labs keeps a backup copy of what it builds, for support and recovery. It also keeps the tools, frameworks, know-how, and generic components it created or used, provided they contain none of your content, data, or branding; any such component built into your delivery is licensed to you on a non-exclusive, perpetual basis. Third-party software stays under its owner’s licence.

Domains, hosting, and other third-party accounts are in your name. After handover, their renewal, security, and cost are your responsibility unless you have separately agreed that Arix Labs administers them (see Managed Infrastructure in Section 2). Handover details, such as domain and hosting details, account information, access keys, and build information, are released through your dashboard once you have paid in full. They are stored encrypted, shown only to you when you ask to see them, and available for a limited time after release.

5. Service limitations

Arix Labs builds and manages automation and AI systems to a professional standard but does not guarantee specific business outcomes (e.g. revenue, lead volume, or cost savings), as these depend on factors outside our control. Estimated figures referenced in marketing materials are illustrative, not guarantees.

6. Client responsibilities

You agree to provide accurate information, timely access to relevant systems/accounts where needed for delivery, and to use delivered systems in compliance with applicable law and any third-party platform terms (e.g. WhatsApp Business, payment providers, hosting platforms).

Third-party services your system depends on — hosting, databases, domains, messaging, and similar — are contracted in your name and charged to your own payment method by those providers. Their fees are your direct cost and are separate from anything Arix Labs charges. Where Arix Labs administers those accounts for you, that administration is the only part billed by us.

7. Confidentiality

Both parties agree to keep confidential business information shared during the engagement private, except where disclosure is required by law.

8. Arix Credits & referrals

Where offered, Arix Credits are governed by the full Arix Credits Terms & Conditions further down this page, which forms part of these Terms. In summary: Arix Credits have no cash value, cannot be exchanged for cash or cryptocurrency, and cannot be transferred between accounts.

Separately, existing clients may earn a referral reward of 5% of what a client they referred pays Arix Labs, for as long as that referred client remains active, paid out as Pulse (AI Credits) rather than Arix Credits or cash. Referral rewards are granted, not purchased, and do not extend the expiry of a purchased balance under Section 2; they remain available while your account is active. Arix Labs may adjust or discontinue the referral program at any time, with reasonable notice where practical.

9. Limitation of liability

To the maximum extent permitted by law, Arix Labs’ total liability for any claim arising from these Terms or the services provided is limited to the amount paid by the client for the specific service giving rise to the claim in the preceding 12 months. Arix Labs is not liable for indirect, incidental, or consequential damages.

10. Changes to these Terms

We may update these Terms from time to time; material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of Arix Labs services after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the Republic of South Africa.

12. Pricing and plan changes

Arix Labs may change its prices, top-up sizes, discount rates, and the size of the allocations described in Section 2, with reasonable notice where practical. Changes are not applied retrospectively: a once-off fee already agreed is not repriced, credits already purchased keep the expiry that applied when they were bought, and an instalment plan already under way runs to completion at its agreed amount. Continued purchases after a change takes effect are made at the prices disclosed at that checkout.

13. Revisions and changes

Each milestone includes a set number of revision rounds: two for Quick-Start and three for Ignite, Momentum, and Autopilot. A revision is an adjustment to something already agreed within the signed scope, such as wording, colours, spacing, layout tweaks, and fixes. A change is anything new: additional pages, features, integrations, user roles, or content volume; a new third-party system; or reopening a decision you have already approved in writing.

Changes are quoted as a fixed price with their effect on dates, and start only once you have accepted the quote in writing. Please give feedback within 72 hours of receiving a preview. Any delay in feedback or access moves the delivery dates by the same amount.

14. Your documents

When you finish your project setup and sign, we issue your Service Agreement, which sets out what we will deliver, these Terms, the statement of work, and your fees. We email it to you and keep it in your dashboard.

After your kickoff call we send your Project Brief, confirmed with what we agreed on the call, and your Project Plan, with dates. These take effect when you approve them in your dashboard. Documents you have signed or approved are never edited; a change is a new version that replaces the old one.

15. Privacy and personal information

Arix Labs (Pty) Ltd is the responsible party for the personal information you give us. We collect your name, email address, phone number, business details, registration or ID number, address, and what you tell us about your project. We use it to prepare and manage your agreement, to deliver and bill your project, to support you, and to meet our legal duties.

We share it only with the providers that run our service for us (payment processing, hosting and database, email delivery, and the tools we use to build) and where the law requires it. We do not sell it. We keep it for as long as we need it to deliver and support your project and for the periods the law requires, then delete or anonymise it.

You can ask to see, correct or delete your information, or object to how it is used, by emailing support@arixlabs.tech. If you are unhappy with how we handle it, you may complain to the Information Regulator of South Africa.

16. Support

Every client has standard support for what we built: help using it, fixing faults in it, and answering questions about how it works. Write to support@arixlabs.tech, message us on WhatsApp, or use your dashboard. We aim to reply within one business day (Monday to Friday, South African time, excluding public holidays). That is a target for our first reply, not a promise of how long a fix will take.

Standard support does not include new work. A new feature, integration or change to what was agreed is quoted separately, and revisions are handled as set out in Section 13. The optional Monthly Strategy Session add-on is described in Section 17.

17. Monthly Strategy Session

An optional monthly add-on for Ignite and Autopilot (formerly called Priority Support & Strategy), billed monthly at the price shown at checkout. Standard support (Section 16) fixes what we built. The Monthly Strategy Session is time with our analyst on how your systems fit together and perform, and on what to build next. Momentum includes it at no extra charge.

What you get

What a session covers

What it does not include

New builds and changes, which are quoted separately. Unlimited call time. A promised time to resolve anything.

Sessions, missed sessions and cancelling

Sessions are booked in advance. If you need to move one, tell us at least 24 hours before and we will rebook it within the same month. A session you do not attend, or cancel with less notice, is forfeited for that month. Unused sessions do not roll over and are not refunded. If we have to move or miss a session, we will rebook it within the same month or credit you for that month. You can cancel the add-on at any time, effective at the end of the current billing cycle, with no cancellation fee, as set out in the Refund & Cancellation Policy below.

18. Promotions and discount codes

From time to time we offer discounts, either shown on our site or through a code. The price shown at checkout, before you confirm, is the price that applies to that purchase. A promotion applies only to the purchase it is used on. It is not a recurring discount and does not reduce any later or recurring charge.

The 30% discount on the build fee applies to Autopilot and Momentum when you pay the build fee once, in full. It is applied automatically at checkout. We may change or end it for future purchases; that never affects a purchase you have already paid.

A discount code is single use, works only for the email address it was issued to, and expires at the time shown when it is issued (currently 10 minutes after we issue it). It cannot be transferred, exchanged for cash or used after it expires. A code can be used only on a once-off purchase paid in full, not on instalment plans, monthly subscriptions, add-ons, extra seats or Gas Packs. Where a code is stated to apply on top of another discount, it is taken off the already-discounted price. We issue one code per email address.

We may refuse or cancel a code, and a purchase made with it that has not been completed, if it was obtained or used by automated means, through multiple identities, or in any way other than described here. A refund under the Refund & Cancellation Policy is of the amount you actually paid.

19. Contact

Questions about these Terms: support@arixlabs.tech.

Refund & Cancellation Policy

General policy

Cancelling a recurring charge stops future billing only; it does not reverse charges already processed. Unspent AI Credits (“Pulse”) are not refunded or paid out on cancellation, and the ongoing monthly allocation described in Section 2 stops while an account is cancelled or unpaid. Nothing in this policy limits any right you have under South African law, including cooling-off rights that apply to online purchases.

Once-off builds

To cancel, use the cancellation request in your dashboard, or email support@arixlabs.tech, within those 7 days. The 7 days run from the date of your payment.

Instalment plans and missed payments

Paying in instalments is a payment arrangement for a once-off fee. If an instalment is not paid, we will tell you, and your plan is disabled. Work stops and your build may be taken offline until payments resume. Ownership does not transfer until the final instalment has cleared, and stopping payment does not by itself cancel the agreement.

Arix Agent

Arix Agent may be cancelled with one month’s written notice. The current month is not refunded, and no charge is taken after the month in which the cancellation takes effect. To cancel, use the cancellation request in your dashboard or email support@arixlabs.tech. You can update your payment card yourself at any time.

Recurring Gas top-ups

A recurring monthly AI Credit (“Gas”) top-up may be cancelled at any time, effective at the end of the current billing cycle — no partial-month refunds are issued. No cancellation fees apply.

Recurring add-ons

Recurring add-on subscriptions may be cancelled at any time, effective at the end of the current billing cycle — no partial-month refunds are issued. No cancellation fees apply.

Autopilot Tailored

Refund and cancellation terms for custom-scoped engagements are set out in the individual agreement signed with the client.

Arix Credits — Terms & Conditions

Arix Credits are a discretionary loyalty and incentive program offered by Arix Labs to eligible clients. They are not a financial product, currency, or investment, and participation in this program does not create any financial entitlement.

How Arix Credits are earned

At Arix Labs’ discretion, including through upgrading service tiers, participating in a testimonial or case study, or reaching service milestones. Arix Labs may introduce, change, or discontinue ways of earning credits at any time. Referral rewards are a separate program, described in Section 8 above and paid out as Pulse, not Arix Credits.

How Arix Credits are redeemed

For a percentage discount on a future invoice, a complimentary additional workflow for a billing cycle, or a one-month upgrade to the next service tier at no extra cost. Available redemption options and their credit cost may change over time; Arix Labs will give reasonable notice of material changes.

What Arix Credits are not

Arix Credits have no cash value, cannot be exchanged for cash or cryptocurrency, and cannot be transferred, sold, or gifted between accounts or clients.

Not to be confused with Pulse (AI Credits)

“Pulse” (also referred to as AI Credits) is a separate, unrelated system used to meter AI/agent usage within your service plan — see your dashboard for details on your Pulse balance and allocation. Arix Credits and Pulse are different systems that happen to be offered by the same business — they cannot be combined, converted into one another, or substituted for each other.

Expiry and forfeiture

Arix Credits do not expire while your account remains active. Unspent Arix Credits are forfeited upon full account cancellation and are not refunded or paid out in any form. This clause applies to Arix Credits only. Pulse (AI Credits) is a separate system with its own expiry rules, set out in Section 2.

Program changes

Arix Labs may modify or discontinue the Arix Credits program at any time, with reasonable notice where practical. As Arix Credits have no cash value, no compensation is owed for credits that go unused as a result of a program change.
